Da die Gesellschafter bei der GmbH meistens nur die Funktion des Kapitalgebers übernehmen und die Leitung einem Geschäftsführer überlassen, sollte man annehmen, daß die Vorbedingungen für die Eigenfinanzierung noch bessere sind als bei der Einzelunternehmung, der stillen Gesellschaft, der OHG und der Kommanditgesellschaft, weil theoretisch der Kreis der Gesellschafter einmal unbeschränkt groß sein kann und weiter persönliche Bindungen nicht zu bestehen brauchen, somit also die Vorstufe der Aktiengesellschaft erreicht ist.
Was die Vergrößerung des Eigenkapitals durch Selbstfinanzierung angeht, ist in bezug auf den Komplementär dasselbe wie vom Gesellschafter der OHG zu sagen. Die gesetzlichen Vorschriften der OHG gelten ja auch für die Kommanditgesellschaft, sofern nicht Sondernormen aufgestellt sind. Vermehrung des Eigenkapitals der Komplementäre durch Gewinnakkumulation ist also auch bei der Kommanditgesellschaft möglich. Das Kapital der Kommanditisten jedoch bleibt stets konstant. Gewinne werden nicht ihrem Kapitalkonto gutgeschrieben, sondern auf Kontokonentkonto verbucht.
Für die Erhaltung des Eigenkapitals bietet die OHG im Gegensatz zur Einzelunternehmung eine Gewähr. Die Umschreibung von Eigenkapital in beliebiger Höhe auf Privatkonto ist bei der OHG nicht ohne weiteres möglich. ) Im übrigen kann ein Gesellschafter ohne Einwilligung der anderen Gesellschafter seinen Kapitalanteil nicht vermindern. Im Interesse der Erhaltung des Unternehmens ist diese Bestimmung erforderlich; sie bildet wohl den wichtigsten Gegensatz zu der Einzelunternehmung, die, wie bereits ausgeführt, Umschreibungen vom Kapitalkonto auf Privatkonto jederzeit zuläßt.
